1. Definitions
For the purposes of these Terms and Conditions, the following terms have the meanings set out below:
- "Agreement" means these Terms and Conditions together with any engagement letter or written scope of work agreed between the parties.
- "Client" / "You" / "Your" means any individual or entity that engages Naga Counsel for legal services or that uses this website.
- "Company" / "We" / "Us" / "Our" means Naga Counsel, a legal practice registered and operating at 142 Ladprao Road, Chatuchak, Bangkok 10900, Thailand.
- "Services" means the pension-related legal services described on our website and in any engagement letter, including consultations, claim support, and ongoing representation.
- "Content" means all text, documents, summaries, written advice, and other materials prepared by Naga Counsel in connection with an engagement.
- "Website" means the site operated by Naga Counsel at nagacouns.cyou.
2. Acceptance of Terms
By using this Website, submitting an enquiry, or engaging our Services, you confirm that you have read and understood these Terms and Conditions and agree to be bound by them. If you do not agree, please refrain from using our Website or engaging our Services.
You confirm that you are at least 18 years of age and that you have the legal capacity to enter into a binding agreement. Where you are acting on behalf of an organisation, you represent that you are authorised to bind that organisation.
These Terms may be supplemented by a written engagement letter for specific matters. In the event of conflict, the engagement letter will take precedence over these general Terms.
3. Service Description
Naga Counsel provides legal support in relation to pension matters in Thailand. Our principal services are:
Pension Clarity Consultation
An initial session to review a client's pension documentation, clarify the relevant considerations, and provide a written summary of the client's situation and options. Fee: ฿4,400.
Claim Support & Representation
Practical assistance in preparing and lodging pension claims. Includes evidence gathering, submissions to funds or authorities, and correspondence on the client's behalf. Fee: ฿9,800.
Ongoing Pension Defence
Full representation for contested or extended pension matters. Includes detailed strategy, formal correspondence, institutional coordination, and continuous support until conclusion. Fee: ฿17,400.
Services are available to clients located in Thailand or with pension interests subject to Thai law. We will confirm availability and scope at the outset of each engagement. Fees stated are those current at the time of publication and may be updated with reasonable notice.
4. Engagement & Scope of Work
An engagement commences when both parties have agreed in writing to the scope of work and the applicable fee. Submitting an enquiry through this Website does not constitute an engagement, and no legal relationship is formed until a written confirmation has been issued by Naga Counsel.
Any expansion of scope beyond the originally agreed terms will require a written amendment. We will communicate clearly if a matter develops in a way that may require additional work or fees, and we will not proceed with expanded work without your agreement.
We aim to provide honest assessments of timelines, though the duration of pension matters often depends on the responsiveness of third parties such as funds, employers, or regulatory bodies. We will keep you informed at each meaningful stage.
5. Client Responsibilities
To enable us to assist you effectively, clients are asked to:
- Provide accurate, complete, and timely information and documentation relevant to the matter.
- Inform us promptly of any changes in circumstances that may affect the engagement.
- Respond to our requests within a reasonable time to avoid delays in your matter.
- Refrain from taking unilateral action on the subject of an engagement without consulting us first.
- Use this Website only for lawful purposes and in a manner consistent with these Terms.
We cannot be responsible for adverse outcomes that arise from incomplete or inaccurate information provided to us. Where we identify a discrepancy in information supplied, we will raise this with you before proceeding.
Prohibited activities include: attempting to access systems or data without authorisation; submitting false or misleading information; interfering with the operation of this Website; and using our Content for purposes outside the scope of the engagement without written permission.
6. Fees & Payment
Fees for each service are stated at the time of engagement. All fees are quoted in Thai Baht (฿) and are inclusive of applicable taxes unless stated otherwise. We accept payment by bank transfer or such other methods as may be agreed in writing.
Payment is generally required before or at commencement of work, unless an alternative arrangement has been agreed in writing. For ongoing engagements, a payment schedule will be set out in the engagement letter.
If a matter concludes earlier than anticipated, we will assess fees based on work completed. If circumstances require significantly more work than originally anticipated, we will notify you and seek your agreement before continuing.
We do not offer refunds for consultations already conducted. For other services, any refund will be considered on the merits of each situation, having regard to work already performed. Disputes regarding fees should be raised with us directly in the first instance.
7. Confidentiality
We treat all information shared with us during an engagement as confidential. We will not disclose client information to any third party except where necessary to carry out the Services (for example, communicating with pension funds or regulatory authorities on your behalf), where required by law, or where you have given your express written consent.
This obligation of confidentiality continues after the conclusion of any engagement. We ask clients to extend the same courtesy to any proprietary information, methodologies, or documentation shared by Naga Counsel in the course of an engagement.
8. Intellectual Property
All Content on this Website — including text, structure, design elements, and documentation — is the intellectual property of Naga Counsel and is protected under applicable Thai law. You may not reproduce, distribute, or publicly display any material from this Website without our prior written consent.
Written summaries, advice, and other materials produced by Naga Counsel for a specific client engagement are provided for the sole use of that client in relation to their matter. They may not be reproduced, shared, or relied upon by third parties without our written agreement.
We grant you a limited, non-exclusive, non-transferable licence to access and use this Website for the purpose of learning about and engaging our Services. This licence does not extend to any commercial use of our Content.
9. Disclaimers
The general information on this Website is provided for informational purposes and does not constitute legal advice. It does not create a lawyer-client relationship. Individual circumstances vary, and nothing on this Website should be relied upon in place of specific professional advice tailored to your situation.

10. Limitation of Liability
To the fullest extent permitted under Thai law, Naga Counsel's liability in connection with any engagement or use of this Website is limited to the fees paid by the client for the specific service giving rise to the claim.
We shall not be liable for any indirect, consequential, or incidental loss, including but not limited to: loss of anticipated pension funds, loss of earnings, or reputational harm, arising from reliance on advice or representations made in the course of an engagement, except where such loss results from our gross negligence or deliberate misconduct.
We shall not be liable for delays or inability to perform where caused by circumstances outside our reasonable control, including strikes, government action, systems outages, or changes in applicable law.
11. Indemnification
You agree to indemnify and hold harmless Naga Counsel, its practitioners, and staff from any claims, damages, losses, or expenses (including reasonable legal costs) arising from: your breach of these Terms; your provision of false, incomplete, or misleading information; your misuse of this Website; or any action you take in relation to your pension matter without our advice or contrary to our recommendation.
12. Termination
Either party may bring an engagement to a close with reasonable written notice. A client who wishes to discontinue our Services should inform us in writing. We will prepare a brief handover note and provide copies of documents held on your behalf.
Naga Counsel reserves the right to withdraw from an engagement where: a client provides materially misleading information; a client behaves in a manner that makes the working relationship untenable; or continued engagement would place us in a position of professional conflict.
Fees for work completed up to the date of termination will remain due and payable. Provisions concerning confidentiality, intellectual property, limitation of liability, and dispute resolution will survive termination of any engagement.
13. Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any dispute arising out of or in connection with these Terms or any engagement shall be subject to the jurisdiction of the courts of Thailand.
We encourage clients to raise any concern with us directly at the earliest opportunity. In our experience, most matters can be resolved calmly through open communication. Where a formal complaint is required, it should be submitted in writing to [email protected] and we will respond within ten working days.
Where a dispute cannot be resolved through direct discussion, the parties may agree to refer the matter to mediation before commencing formal proceedings. This is not a requirement, but we are open to it as a constructive step.
14. General Provisions
Entire Agreement. These Terms, together with any engagement letter, constitute the entire agreement between the parties with respect to the subject matter and supersede all prior discussions or representations.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver. Our failure to enforce any provision of these Terms at any time does not constitute a waiver of that provision or any other provision.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may transfer our rights and obligations where this does not materially affect the services provided to you.
Notices. Formal notices under these Terms should be provided in writing by email to the addresses provided, with confirmation of receipt. Notices are considered effective on the date of confirmed receipt.
15. Changes to These Terms
We may revise these Terms periodically. When we do, we will update the "Last Updated" date at the top of this page. For material changes affecting active engagements, we will notify clients by email in advance of the change taking effect.
Continued use of our Website or our Services following any update constitutes acceptance of the revised Terms. We recommend reviewing this page periodically. Previous versions are available on request.
